Terms of Use

These cover engagements under our services and use of this website. They are deliberately short. Anything specific to your project lives in the proposal you sign, and that document wins where the two differ.

Who these apply to

They apply between you (the client) and Reconciler AI Private Limited, Ghaziabad, Uttar Pradesh, India, for work delivered under our Custom Software Development and Social Media Management services, and to anyone browsing this site or using the free calculators.

Scope of work

Every engagement starts with a written scope: what is being built or run, what is excluded, and what completion looks like. We quote against that scope. If the scope changes, we re-quote before doing the extra work — we do not absorb changes silently and we do not bill for them as a surprise.

What we need from you

  • A single named person who can approve decisions.
  • Access, content and credentials we cannot produce ourselves, within the timeline agreed.
  • Feedback in the review windows we set out. Timelines shift if approvals do.

Fees and payment

Fees, milestones and currency are stated in the proposal. Invoices are payable within the period stated on them. Where an engagement is retained, it is billed monthly in advance. We may pause work on materially overdue invoices after written notice.

Intellectual property

On full payment, ownership of the deliverables built specifically for you transfers to you, along with the source code and documentation. We retain ownership of our pre-existing tools, libraries and internal frameworks, and grant you a perpetual licence to use them as part of your deliverable. Third-party and open-source components remain under their own licences, which we will list.

You keep ownership of everything you give us — your content, brand assets and data.

Confidentiality

Each side keeps the other's non-public information confidential and uses it only to perform the engagement. This survives the end of the contract. Where a service team holds client credentials or data, access is limited to the people working on that account.

Publicity

We will not name you as a client, publish your logo, or describe your project publicly without your written permission. If you would rather we said nothing at all, that is fine.

Warranty and correction

We warrant that work is performed with reasonable skill and care and that deliverables materially meet the agreed scope. Defects reported within the warranty period stated in your proposal are fixed at no charge. This does not cover changes to requirements, faults in third-party services, or modifications made by others after handover.

Limitation of liability

Neither side is liable for indirect or consequential loss, including lost profits or lost data, except where the law does not allow that limit. Our total liability for any engagement is capped at the fees paid to us under that engagement in the twelve months before the claim. Nothing here limits liability for fraud, wilful misconduct, or anything that cannot lawfully be limited.

Free calculators

The calculators on this site are provided free and as-is, for guidance only. They are not tax, legal or accounting advice. Statutory rates and thresholds change; we update them on a best-effort basis and you should verify against the current law before relying on a figure. We accept no liability for decisions taken on the basis of a calculator output.

Reconciler the product

Reconciler has not launched. When it does, it will be governed by its own product terms. Reconciler is a verification aid — it does not provide accounting, tax or legal advice, and it does not replace the professional judgement of the person signing off a return.

Ending an engagement

Either side may end an engagement on the notice period stated in the proposal, or immediately for material breach that is not fixed within thirty days of written notice. On termination you pay for work completed and committed costs, and we hand over what has been paid for.

Website use

Content on this site is ours unless credited otherwise. Please do not scrape it, copy it wholesale, or attempt to interfere with the site's operation. The site is provided as-is and we make no promise that it is always available.

Governing law

These terms are governed by the laws of India. The courts at Ghaziabad, Uttar Pradesh have exclusive jurisdiction, and we will attempt good-faith discussion before either side goes near them.
